Marketplace Terms of Service

1Scope and Agreement

These Marketplace Terms of Service ("Commercial Terms") govern your access to and use of EasyBday's business listing and discovery services (the "Marketplace"). They form a binding legal agreement between EasyBday and the business entity or authorized individual submitting a commercial listing ("you" or "Business").

By submitting a listing to the Marketplace, you confirm that you have read, understood, and agree to these Commercial Terms. If you do not agree, you must not submit a listing.

These Commercial Terms apply in addition to EasyBday's general Terms of Service, which continue to apply where relevant.

2Intermediary Status

EasyBday operates as a discovery and advertising platform. We connect party hosts with venues and vendors. We do not:

• •Act as a party to any booking, contract, or agreement between your business and an EasyBday user.
• •Process payments on your behalf or act as a merchant of record.
• •Guarantee any volume of inquiries, bookings, or revenue from your listing.
• •Endorse or warrant the quality of any listed business.

All commercial transactions occur directly between your business and the customer, outside the EasyBday platform.

3Submitter Authority

By submitting a listing, you represent and warrant that:

• •You are an authorized owner or representative of the business with legal authority to bind the entity to these terms.
• •The business is legally registered and holds all municipal, provincial, and federal licenses required to operate.
• •For physical venues: the facility complies with all applicable building codes, fire safety regulations, health and safety requirements, and occupancy limits.
• •Your listing content (text, photos, logos, and other media) does not infringe any third-party intellectual property rights.
• •The business's services are appropriate for children and family events, which is the primary audience of EasyBday.

4Listing Information and Accuracy

You are solely responsible for the accuracy and completeness of your listing. You agree to:

• •Keep all pricing, package details, capacity limits, cancellation policies, and contact information current.
• •Disclose all mandatory fees, restrictions, and conditions (such as external catering restrictions, noise bylaws, or security deposits) clearly in your listing description.
• •Respond to inquiries from EasyBday users promptly and professionally.
• •Not list a business that does not exist, is not operational, or that you are not authorized to represent.

5Content License

You retain ownership of all intellectual property you submit to the Marketplace. By uploading content, you grant EasyBday a worldwide, royalty-free, non-exclusive, sublicensable license to:

• •Host, store, and display your content on the EasyBday platform and associated channels.
• •Resize, compress, or reformat media assets for layout and performance optimization.
• •Use your business name and general listing information to describe and promote the Marketplace.

6Review and Moderation

All submissions enter an admin review queue before becoming publicly visible. EasyBday reserves the right to approve or reject any submission at its sole discretion, with or without providing a reason. We may edit listing copy for clarity, spelling, or formatting without altering factual content.

7Ownership and Claim Flow

After your listing is approved, you may claim ownership of your listing through EasyBday's verification flow. Claiming ownership allows you to manage and update your listing directly. EasyBday may require additional verification before granting ownership access.

8Fees and Commercial Arrangements

Listing on the EasyBday Marketplace is currently provided at no charge. We do not process booking payments or issue payouts to businesses. Future commercial tiers or referral tracking may be introduced with advance notice and separate agreement.

9Child Safety

By listing on the Marketplace, you agree that your services are appropriate for children and family audiences. You will not engage in conduct that is harmful, inappropriate, or contrary to applicable child safety standards. You hold any certifications required by Ontario law (e.g. vulnerable sector checks).

10Indemnification

You agree to indemnify and hold harmless EasyBday from any claims arising from incidents at your venue, failure to maintain licenses, inaccurate listing information, or disputes with users.

11Limitation of Liability

To the maximum extent permitted by law, EasyBday shall not be liable for any indirect or consequential damages, including lost revenue, arising from platform downtime, removal of your listing, or actions of EasyBday users.

12Governing Law

These Commercial Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
